Contractual assignment. The provider has been engaged as a provider of financial services for the event. 2. Contractual honor. The parties will keep this contract confidential as a whole. The parties will honor to speak in positive terms of the of the other party in the contract before, under and after the event. 3. Provider's terms: PTN is providing financial services which facilitates transactions requested between the host and PTN users, and between PTN users and the host. PTN has no responsibilty in the failure of payment and/or other financial transactions if disputed before/under or after the event takes place by the customer. PTN will follow the rules as laid down by Merchant holders of VISA/MC and other financial instrumentations as governed by local law. PTN will inform the host of any dispute and the host will have it's say in any dispute. PTN's role will be as a mediator between the host and the customer to settle the dispute. 4. Obligations of the provider. The provider will provide the following: 1. Sales and ticketservices for 150 persons. 2. Waiting list functionality for overbooking. 5. Obligations of the host: The host will provide the following: Payment of fees as incurred by the setup of this contract. Guarantee for the tickets validity towards their attendees. 6. Payment terms. PTN will provide up-to-date accouting of all economic figures necessary. The host will get weekly transfers or, if wanted, select updates for payments. Payments received is available on the clients account 1 business day after payment is settled with the customer (Creditcards can take 14 days to complete). Payment from clientaccount to any valid bankaccount is available upon request on any sum available on the clientaccount, less PTN's fee(s) in total and 20% of the total sales completed for chargebacks or failure to deliver on the event itself. 7. Misconduct or failure to deliver on obligations. The parties agree to not seek to enhance or provoke misconduct in any form from the other party. The parties is bound by this contract to an NDA concerning all matters between the two parties. PTN will not give inside details about sales, resources etc to any outside party unless governed by law unless on request by the host. The host will not give inside details about the internal workings of PTN or seek to reverse engineer procesesses for own gain in later events. Functions and procedures used internal by PTN remains PTN's exclusive ownership and the host by this contract is bound to not use access to PTN's technology for it's own development without prior written approvment of PTN, before, under and after the event, or for previous and later events by the same host. If misconduct or failure to deliver seems imminent to the one of the parties, the signee as the responsible part on each side is to immediately inform the responsible part on the other side. This right and obligation can not be waived or transferred to other persons unless both signees agree in writing. Email, sms or similar is to be considered sufficient for any updates to this contract, as long as both parties agree. Normal Norwegian law applies for disputes not solved between the parties directly and is if necessary, to be settled by governmental institutions in Oslo, Norway.
